These Terms and Conditions govern your use of idebit's FedNow API services ("Services"). By using our Services, you agree to be bound by these terms.
2. Services Overview
idebit provides comprehensive FedNow API services for financial institutions, including:
- FedNow Send Implementation: We handle the complete integration of your bank's systems with the FedNow network for sending instant payments.
- FedNow Receive Implementation: We ensure your bank can securely receive FedNow payments in real-time, 24/7/365.
- API Integration: Our team manages the technical integration of our API with your core banking systems, ensuring seamless payment processing.
- Payment Processing: We process FedNow payments on your behalf, including settlement, reconciliation, and error handling.
- Technical Support: 24/7 support for any technical issues related to FedNow implementation and operations.
- Consultation Services: Expert advice on FedNow implementation strategies, compliance requirements, and best practices.
3. Electronic Communications
By using our Services, you consent to receive electronic communications from us via email and our secure portal. These communications may include:
- Service Notifications: Alerts about system maintenance, downtime, and performance metrics.
- Technical Documentation: Access to our API documentation, integration guides, and technical specifications.
- Security Alerts: Immediate notification of any security-related issues or potential threats.
- Compliance Information: Updates on regulatory changes affecting FedNow operations and banking compliance requirements.
- System Status: Regular reports on system performance and uptime statistics.
Note: You can manage your communication preferences through our client portal, but we reserve the right to send mandatory service communications.
4. Data Handling and Privacy
We take your data security and privacy seriously. Our practices include:
- Payment Data Security: All payment information is encrypted both in transit and at rest using industry-standard protocols.
- Banking Compliance: We comply with all applicable banking regulations, including GLBA, BSA/AML, and FedNow-specific requirements.
- Data Encryption: All sensitive information is encrypted using AES-256 encryption, and we maintain strict access controls.
- Regular Audits: We undergo quarterly security audits and maintain SOC 2 Type II compliance.
- Access Controls: Strict role-based access controls ensure only authorized personnel can access sensitive data.
- Incident Response: We have a robust incident response plan in place to handle any potential data breaches.
Note: We do not sell or share your data with third parties except as required by law or for FedNow payment processing.
5. Security Measures
We maintain industry-leading security measures to protect your data and systems:
- API Authentication: Multi-factor authentication and OAuth 2.0 for secure API access.
- Data Encryption: End-to-end encryption using TLS 1.3 and AES-256 for all payment data.
- Access Controls: Role-based access control (RBAC) with least privilege principle.
- Monitoring: 24/7 system monitoring with real-time alerting for suspicious activities.
- Logging: Comprehensive audit logs maintained for at least 7 years.
- Penetration Testing: Regular third-party security assessments.
Note: We maintain SOC 2 Type II certification and undergo regular security audits.
6. Online Access and Usage
Access to our FedNow API Services is subject to the following terms:
- Authentication: All API access requires valid authentication tokens and proper authorization levels.
- Usage Limits: Your usage is subject to agreed-upon transaction volume limits and rate limits.
- Prohibited Activities:
- Attempting to bypass security measures
- Using the API for unauthorized purposes
- Engaging in fraudulent activities
- Violating banking regulations
- Maintenance: We perform scheduled maintenance every Sunday from 12:00 AM to 2:00 AM EST.
- System Availability: We maintain a minimum uptime of 99.9% outside of scheduled maintenance windows.
Note: We reserve the right to temporarily suspend access if we detect suspicious activity or security threats.
7. Dispute Resolution
Any disputes arising from these Terms shall be resolved through:
- Binding Arbitration: All disputes will be resolved through binding arbitration in accordance with JAMS rules.
- Class Action Waiver: You agree to resolve disputes individually and not as part of a class action.
- Applicable Law: These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.
- Confidentiality: All arbitration proceedings and results will be kept confidential.
- Time Limit: Any claim must be brought within one year of the date the claim arose.
Note: This arbitration agreement applies to all disputes, including those related to FedNow payment processing.
8. Limitation of Liability
Our liability is limited as follows:
- Direct Damages: We are only liable for direct damages that are proven to have been caused by our negligence.
- Actual Losses: Any damages must be actual, proven losses, not speculative or potential losses.
- Maximum Liability: Our total liability is capped at the amount of fees paid by you in the 12 months prior to the claim.
- Excluded Damages: We are not liable for consequential, indirect, special, or punitive damages.
- Payment Processing: We are not liable for payment processing issues caused by FedNow network outages.
Note: This limitation of liability applies to all services, including FedNow payment processing.
9. Modifications
We reserve the right to modify these Terms at any time. Changes will be effective upon posting.
